Terms of Service

These Terms of Service (“Terms”) govern access to and use of GlenDesk websites, mobile applications, AI receptionist services, communications tools, software, and related products and services (collectively, the “Services”).

GlenDesk is operated by FCE Labs LLC (“GlenDesk,” “FCE Labs,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms.

Eligibility

You must be legally capable of entering into a binding agreement to use the Services.

If you use GlenDesk on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

GlenDesk Services

GlenDesk provides business communication, automation, customer-management, artificial intelligence, appointment-management, and related services.

Features may include:

• AI telephone receptionists
• Inbound and outbound calling
• SMS and MMS messaging
• Email communications
• Appointment scheduling
• Contact management
• Lead and opportunity management
• Call recording
• Call transcription
• AI-generated summaries
• Notifications
• Business workflow automation
• Mobile application access

Features may vary depending on the customer’s subscription, configuration, location, and third-party service availability.

Accounts

You are responsible for:

• Maintaining accurate account information
• Protecting your login credentials
• Controlling access to your account
• Managing authorized users
• Promptly notifying us of suspected unauthorized access

You are responsible for activity performed through your account by your authorized users.

Customer data

You retain ownership of data that you submit to GlenDesk.

You grant FCE Labs the limited rights necessary to host, process, transmit, reproduce, and otherwise use that data solely as necessary to provide, secure, maintain, and improve the Services.

You represent that you have all rights, permissions, notices, and consents necessary to provide such data to GlenDesk and to permit GlenDesk to process that data in connection with the Services.

Privacy

Our handling of personal information is described in the GlenDesk Privacy Policy.

The Privacy Policy forms part of these Terms.

AI Services

Some GlenDesk features use artificial intelligence.

You acknowledge that:

• AI-generated responses may contain errors
• AI systems may misunderstand callers or users
• Transcriptions may be inaccurate or incomplete
• Automated actions may occasionally require human review
• AI-generated summaries, classifications, and recommendations may not always be accurate

GlenDesk should not be relied upon as a substitute for professional judgment in situations involving health, safety, legal advice, financial advice, emergencies, or other high-impact decisions.

Customers remain responsible for reviewing and supervising their use of AI functionality.

Calls, recordings, and transcription

GlenDesk may provide telephone, call recording, call monitoring, transcription, voicemail, and related communications functionality.

Customers are responsible for complying with all applicable laws relating to:

• Telephone calls
• Call recording
• Call monitoring
• Automated communications
• Consent and disclosure requirements
• Do-not-call requirements
• Telemarketing and telecommunications rules

GlenDesk provides technology but does not determine whether a particular recording, communication, or outreach activity is lawful in a customer’s jurisdiction.

SMS, MMS, and electronic communications

Customers must comply with applicable laws, carrier requirements, consent requirements, and telecommunications policies when using GlenDesk to send SMS, MMS, email, or other electronic communications.

Customers may not use GlenDesk to send:

• Spam
• Unlawful marketing communications
• Fraudulent or deceptive messages
• Harassing communications
• Messages sent without legally required consent
• Content that violates carrier or telecommunications provider policies

Carrier fees, message fees, data rates, and other telecommunications charges may apply.

Acceptable use

You may not use GlenDesk to:

• Violate applicable law
• Commit fraud or facilitate fraudulent activity
• Impersonate another person or organization unlawfully
• Infringe intellectual property or privacy rights
• Distribute malware or harmful code
• Attempt unauthorized system access
• Interfere with the security or operation of the Services
• Send spam or unlawful bulk communications
• Harass, threaten, or abuse others
• Conduct unlawful surveillance
• Circumvent security or usage controls
• Abuse telecommunications networks or carrier services
• Use the Services in a manner that could damage GlenDesk, its providers, or other customers

We may suspend or terminate access when reasonably necessary to protect GlenDesk, our customers, service providers, telecommunications networks, or third parties.

Fees and billing

Certain GlenDesk Services require payment.

By purchasing a paid subscription or service, you authorize GlenDesk or its payment processor to charge applicable:

• Subscription fees
• Usage fees
• Telecommunications charges
• Messaging charges
• AI usage charges
• Setup or implementation fees, where applicable
• Applicable taxes
• Other agreed fees

Subscriptions may automatically renew unless canceled according to the applicable subscription terms.

Usage-based charges may be billed after the applicable usage occurs.

Unless otherwise stated in writing or required by law, fees already incurred are non-refundable.

Third-party services

GlenDesk relies on and may integrate with third-party services, including telecommunications providers, cloud infrastructure providers, payment processors, artificial intelligence providers, software platforms, and other vendors.

We cannot guarantee uninterrupted availability or performance of third-party services.

Changes, outages, suspensions, restrictions, or failures imposed by third-party providers may affect GlenDesk functionality.

Service availability

We strive to maintain reliable Services but do not guarantee that the Services will be uninterrupted, error-free, or available at all times.

Services may be temporarily unavailable because of:

• Scheduled or emergency maintenance
• Infrastructure failures
• Telecommunications outages
• Internet disruptions
• Third-party provider failures
• Security events
• Governmental actions
• Events outside our reasonable control

Intellectual property

GlenDesk, including its software, branding, logos, designs, documentation, workflows, content, and related materials, is owned by FCE Labs LLC or its licensors and is protected by applicable intellectual property laws.

Except for rights expressly provided under these Terms, no intellectual property rights are transferred to you.

Feedback

If you provide suggestions, ideas, comments, or feedback regarding GlenDesk, you grant FCE Labs permission to use that feedback without restriction or compensation, provided that we do not publicly identify you as the source without permission.

Suspension and termination

You may discontinue use of GlenDesk at any time, subject to applicable subscription, billing, or contractual obligations.

We may suspend or terminate access if:

• Fees remain unpaid
• These Terms are materially violated
• The Services are used unlawfully
• Your activity creates security, fraud, telecommunications, or compliance risk
• Your activity violates third-party provider or carrier requirements
• Suspension or termination is necessary to comply with law

Following termination, access to certain customer data and functionality may cease, subject to applicable legal, contractual, and data-retention requirements.

Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

FCE Labs disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing, usage, or trade practice.

We do not guarantee that AI-generated information will always be accurate, that communications will always be successfully delivered, or that the Services will always operate without interruption or error.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FCE LABS LLC AND ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FCE LABS’ TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO FCE LABS FOR THE SERVICES DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit certain exclusions or limitations of liability, so some of these provisions may not apply to you.

Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless FCE Labs LLC and its affiliates, officers, members, employees, and agents from claims, liabilities, losses, damages, costs, and expenses arising from:

• Your unlawful use of the Services
• Your violation of these Terms
• Your violation of applicable communications, privacy, or telecommunications laws
• Data you provide without appropriate authorization
• Your infringement of third-party rights
• Your communications with your customers or other contacts through the Services

Changes to the Services or Terms

We may modify the Services or these Terms from time to time.

Material changes will become effective when posted or otherwise communicated, subject to applicable law.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Services will be brought in a court of competent jurisdiction located in the State of New York, unless the parties agree otherwise in writing or applicable law requires a different venue.

Entire agreement

These Terms, the Privacy Policy, and any applicable order form, subscription agreement, statement of work, or other written agreement constitute the agreement between you and FCE Labs regarding the Services.

If an executed customer agreement conflicts with these Terms, the executed customer agreement controls with respect to that conflict.
